Definitions:

Applicant(s): Any individual or organization submitting an application to Us.

Application: The request for funding, submitted by an Applicant via the online application form, available at angelfunding.org.uk

Beneficiary: The recipient of a donation or sponsorship amount following the application for funding by an Applicant.

Service: The service provided by ‘Angel Funding’

Sponsor(s): Any individual, group or company who/which makes a donation or sponsorship payment via the Angel Funding Service.

Us/Our/We: The service operating as ‘Angel Funding’

Website: The website at domain www.angelfunding.org.uk

You/Your/User(s): Any visitor to Our Website or user of our Service

1. Our Service:

1.1 Angel Funding is an independent agency service, which connects philanthropic donors or commercial sponsors (‘Sponsors’) to Funding Applicants based on the funding Applications and Sponsor Registrations We receive.

1.2 We process each funding Application individually to assess its correlation to the funding available from Sponsors. While We aim to secure funding for as many Applicants as possible, We cannot guarantee that all Applicants will receive funding or that all Sponsors shall receive notifications of suitable Sponsorship opportunities.

1.3 There are four ways in which funding may be offered to successful Applicants:

1.3.1 Once a match is found between an Applicant and a Sponsor, We may connect the two parties by firstly notifying each party and then inviting the Applicant to contact the Sponsor, allowing them to arrange their own sponsorship/support arrangement. Any communication between the Applicant and the Sponsor and any funding arrangement discussed and/or agreed to shall be independent of Our Service and We shall not be held accountable for any damages, loss or risk encountered by either party as a result of such discussions or arrangements. By using Our Service, the Sponsor and the Applicant agree to carry out their own due diligence checks before sharing confidential, personal or financial information, or engaging in any sponsorship, support or donation arrangement.

1.3.2 In the case whereby the needs of an Applicant match the offerings of a Sponsor (or Sponsors), but the Sponsor(s) wishes not to have direct contact with the Applicant, the funding offered to the Applicant may be issued directly from AngelFunding. In this instance, donations shall be made by the Sponsor(s) to AngelFunding to support a particular category of funding and AngelFunding shall use its discretion to identify a suitable Applicant to receive funding and determine a value of funding to be distributed from such donations. Any donations made by Sponsors to AngelFunding in this way shall be used to support the work of AngelFunding including supporting its running costs. We do not 'hold' money in its entirety from Sponsors, which is awaiting distribution to Applicants.

1.3.3 In the case of a Sponsor making a donation to AngelFunding (or a promise of donation) to support Our work, and whereby the Sponsor does not wish to specify a category of funding to support, AngelFunding shall maintain the right to distribute any portion of said donation to Applicants from any of the funding categories as It sees fit.

1.3.4 AngelFunding may offer to support Applicants directly by means of an AngelFunding sponsorship offer. Where applicable, these funds shall be provided directly to the Applicant by AngelFunding.

1.4 During the course of Our work We may suggest potential options for means through which funding may be provided. Any such suggestion by us shall not constitute financial advice and it shall be the responsibility of the Applicant and the Sponsor to seek their own professional advice with regards to the most suitable means of funds being made available.

1.5 Following the successful matching of an Applicant with a Sponsor, no matching fee shall be charged by Us. However, the Sponsor and/or the Beneficiary may be invited by Us to make a voluntary contribution to AngelFunding, to help support Our work.

1.6 We accept no liability for any misuse of funds from donations, sponsorship or other payments made as a result of Our matching Services, directly or otherwise and We accept no liability for any contract entered into by Our Users with third parties.

1.7 We do not provide financial, legal, health or other personal or business advice. We do not offer an alternative to support services or professional services offering forms of advice or support and Our Website and Our Service should not be relied upon for such. It is the responsibility of Our Users to ensure they seek professional advice where required.

1.8 Any Application shall remain active on Our system for a total of 3 calendar months from the date of submission, during which time the Applicant may be offered funding. Following this period, the Application shall be deemed as expired.

1.9 In the case whereby AngelFunding offers funds to an Applicant who is based outside of the UK, AngelFunding may opt to offer the payment to be made via Paypal. Any Applicant submitting a funding application from outside of the UK is responsible for ensuring they are able to receive funds through this means of payment.

2. Our Website:

2.1 In visiting Our Website and/or using Our Service, it is understood and agreed by You that due to the nature of online services and information processing between servers, information may be transferred between servers at different locations as a means of carrying out Our normal business operations.

2.2 By submitting any of Our contact forms, You agree to receive communications from Us relating to Our Service. You can opt out of these communications at any time by contacting Us at info@angelfunding.org.uk.

2.3 By using Our Website, You agree not to:

Transmit, post or email any content or information that is harmful, threatening, unlawful, obscene, libelous, invasive of another’s privacy, abusive, or otherwise objectionable.
Transmit, post or email any unauthorized or unsolicited advertising or other forms of solicitation, including but not limited to ‘spam’, ‘pyramid schemes’ or ‘junk mail’.
Transmit, post or email any material or content which contains viruses, harmful software, programmes, computer code or any other files or information which are designed to damage or negatively affect the functionality of hardware, software or equipment.

2.4 We shall not be liable or responsible for any losses or damage incurred to any person(s) or business incurred as a result of using Our Website or Services.

2.5 You may not copy, reproduce or distribute any material, including logos or images found on Our Website without prior express permission from Us. This includes images and material which may belong to third parties.

2.6 Our Website may contain links to third party websites and associated services. We accept no liability for any content displayed or services provided by third party websites or providers.

2.7 Any material or information downloaded or retrieved from Our Website is done at the Users’ risk and We accept no liability for any damage or loss of data caused by doing so.

2.8 While We do our utmost to ensure Our Website and Service remain online and available, We shall not be held responsible for any downtime in Our Website or availability of our Application system. Nor shall We be liable for any viruses, computer code or files which cause damage to, or compromise the Website or any third party hardware.

2.9 Users are responsible for ensuring adequate anti-virus software is installed upon any device accessing Our Website, files, code or data.

3. Funding Applications and Sponsor Registrations

3.1 In submitting an Application for funding or in communications with Us, You agree to provide accurate, up to date and true information at all times and to inform Us if at any time the information You have submitted requires updating.

3.2 Only the person named on the Funding Application Form shall be able to request information or updates on a funding Application or enquiry with Us.

3.3 Users submitting a funding Application to Us, do so on the understanding that their Application may or may not result in funding being granted to them.

3.4 Any User visiting the Website or submitting a funding Application or Sponsor Registration from outside of the UK may do so at their own discretion, and it is the responsibility of the User to conform to any relevant compliance laws outside of the UK. No refund shall be offered following the payment of an Application or Registration fee from a User located outside of the UK in the event of an invalid funding Application or Registration.

3.5 All funding Applications must be submitted via the online Application form, available at www.angelfunding.org.uk.

3.6 We do not consider funding Applications for causes which are deemed illegal, immoral, harmful to others or whose intentions are deemed to be in conflict with our charitable values. Such Applications which are found to be so, will be disregarded, but the submission of such Applications may still be subject to an Application fee.

3.7 We shall not be held responsible for any funding Application which is later found to be in conflict with our business values as laid out in these Terms and Conditions, but which was not identified by us as being so.

3.8 Only Applications which have been submitted with all necessary fields completed and which are submitted with an Application fee will be considered for processing, unless otherwise expressly communicated by Us to the Applicant.

3.9 We do not offer refunds on Application fees under any circumstances.

3.10 We retain the right, upon Our assessment to deem an Application suitable or unsuitable for funding, at Our sole discretion.

3.11 The Application fee is processed via a third party payment processor (Squareup). In submitting an Application fee, You thereby agree to the Terms of Service offered by this third party service.

3.12 Upon submitting an Funding Application, You give Us permission to contact You with information We deem to be useful to You in Your application for funding.

3.13 Any individual or organisation registering as a Sponsor agrees to receive notifications of opportunities for sponsorship arrangements as they become available to Us.

3.14 An administration charge of £10 shall be applied to each Sponsor Registration and each Funding Application. These fees are non-refundable.

3.15 We may also pitch Your funding application online and via social media or publish your Application on Our website if You opt in to the additional £10 fee, payable during the application submission process.

4. Use of Your data:

4.1 Any data You share with Us shall be obtained and processed lawfully and fairly and personal data shall only be used for the purposes of Our business operations.

4.2 Personal data shall not be kept for longer than is necessary for the operation of Our business Services.

Data stored shall be processed in accordance with the subject’s rights and Users may request for their data to be deleted from Our database at any time. To request for Your data to be removed from Our database, please contact Us at info@angelfunding.org.uk

4.3 By using Our website and/or Our Services, You agree that the data You provide to Us may be used in accordance with the operation of Our business, including the analysis of Website visitor data and page visits and the sharing of data with third party service providers and processors, which are related to the Service We provide (such as webhosting providers).

4.4 You also hereby agree to Your data being disclosed where necessary to aid with relevant legal requirements or disputes and/or in the sharing of Your data with regulatory bodies.

5. If any term or clause within these Terms and Conditions is held by a court of competent jurisdiction to be invalid, illegal, void or unenforceable, the remainder of the terms shall remain in full force and effect and shall in no way be affected or invalidated.

5.1 AngelFunding is a trading name of Zelar Investments Ltd. A company registered in England and Wales.

5.2 We retain the right to adjust these Terms and Conditions at any time. We invite You to familiarize yourself with Our Terms and Conditions before submitting an Application or using Our Services.

5.3 These terms and conditions shall be governed in accordance with English law and Users agree to submit to the exclusive jurisdiction of the English Courts.
